1. Mutual Non-Disclosure Agreement
Before we discuss your project, both parties agree to protect each other's confidential information under ATG's standard Mutual Non-Disclosure Agreement. Key terms include:
- Mutual Protection: Both ATG and you agree to hold all shared information in trust and confidence, using it solely to evaluate a potential business relationship.
- Scope: Covers all project details, technical requirements, business plans, pricing, and any other proprietary information exchanged during the quote process.
- Restrictions: Neither party may copy, modify, or disclose confidential information to third parties without written consent.
- Term: One (1) year from the effective date, with confidentiality obligations surviving termination.
- Governing Law: Commonwealth of Kentucky.

2. Non-Binding Quote Request
IMPORTANT LEGAL NOTICE: This quote request does NOT constitute a binding agreement or contract.

- No Binding Obligation: This request is for informational purposes only and does not create any binding obligation on either party.
- Preliminary Estimate: Any cost estimates or timelines provided are preliminary and subject to change based on detailed project analysis.
- Formal Agreement Required: A formal, written Statement of Work (SOW) or contract must be executed by both parties before any work commences.
- Right to Decline: Both parties reserve the right to decline or modify any proposal at any time prior to executing a formal agreement.
- Subject to Review: All proposals are subject to internal review and approval processes.
- Negotiation: All terms, including scope, pricing, timeline, and deliverables, are subject to negotiation and mutual agreement.
By proceeding, you confirm that you understand this is a request for a non-binding proposal only, and that no contractual relationship will exist until a formal written agreement is signed by authorized representatives of both parties.
